İŞÇİNİN REKABET ETMEME BORCU

Abstract

İşçi ve işveren arasında iş ilişkisi kurulması ile birlikte sadakat borcu kapsamında işçinin işvereni ile rekabet etmeme yasağı ortaya çıkmaktadır. Burada rekabet yasağı kaynağını kanundan almakta olup tarafların rekabet yasağına ilişkin aralarında konuşmaları, anlaşmaları veya ayrı bir sözleşme yapmaları gerekmemektedir. Taraflar arasındaki iş ilişkisinin sona ermesi ile birlikte, kaynağını kanundan alan ve işçinin sadakat borcunun içerisinde yer alan, rekabet etmeme borcu sona ermektedir. İş ilişkisinin sona ermesinden sonra tarafların rekabet yasağının devam etmesini arzu etmeleri halinde ise mevcut iş sözleşmesine rekabet yasağına dair bir hüküm konulması veya ayrı bir sözleşme ile rekabet yasağının şartlarının kararlaştırılması gerekir. Rekabet yasağı sözleşmesi, taraflar arasındaki iş sözleşmesinin sona ermesi akabinde yürürlüğe giren, işçinin işverenin haklı menfaatlerine zarar verebilecek şekilde iş sırlarına ve müşteri çevresine vakıf olması halinde, işçinin işverenle rekabet teşkil edecek davranışlar sergilemesinin önüne geçilmesi amacı ile kanunda belirlenen yer, zaman, konu sınırlamalarına uyularak hazırlanması gereken ve imzalanan bir sözleşmedir. Çalışmamızda taraflar arasındaki iş sözleşmesi devam ederken işçinin rekabet etmeme borcu ve iş sözleşmesinin sona ermesinden sonra işçinin rekabet etmeme borcu ayrı başlıklar altında incelenmiştir. If, after the termination of the employment relationship, the parties wish to continue the prohibition of competition, a provision on the prohibition of competition must be put in the existing labor contract or a separate contract and the conditions of the prohibition on competition must be decided. The prohibition of competition clause is a contract that comes into force after the termination of the employment contract between the parties, and to be prepared and signed according to the limitations of the place, time, subject determined in the law in order to avert the behaviors of employee that will compete with the employer in the case of employee has comprehensive knowledge about the employer's commercial secrets and the customer circle that might harm the just interests of employer. In our study, the non-compete debt of the worker while the employment contract between the parties continues, and the non-compete debt of the worker after the termination of the employment contract are examined under separate headings.
